
Membership Agreement for Joining dBuch
This Membership Agreement (“Agreement”) is entered into by and between DBUCH.eu, a registered non-profit organization, and the undersigned individual or entity (“Member”) who agrees to become a member of the organization DCUBH (hereinafter referred to as “DCUBH”).
Effective Date: 10/09/2024
1. Purpose of the Agreement
The purpose of this Agreement is to outline the roles, responsibilities, and commitments of the Member joining dBuch under dBuch.eu’s governance, ensuring that all members act in alignment with the mission and values of dBuch, without engaging in unprofessional activities or raising funds without consent from dBuch.
2. Membership Terms
By signing this Agreement, the Member agrees to abide by the following terms:
Non-Profit Status: dBuch operates as a non-profit organization. The Member agrees to support the mission of dBuch.eu and refrain from engaging in any activities for personal financial gain under the guise of the organization’s name.
Professional Conduct: The Member agrees to conduct themselves with integrity, respect, and professionalism in all engagements related to dBuch. Unprofessional conduct, including but not limited to harassment, fraud, or misuse of organization resources, will result in immediate termination of membership.
Non-Fundraising Clause: The Member shall not initiate any fundraising activities in the name of dBuch without prior written approval from dBuch’s governing body. Any unauthorized solicitation or misrepresentation in the name of dBuch will be grounds for immediate membership revocation.
3. Roles and Responsibilities of Members
Compliance: Members must comply with all applicable laws, regulations, and the internal policies of dBuch.
Participation: The Member agrees to actively participate in dBuch events, meetings, and initiatives in alignment with the goals of the organization. Absence without reasonable cause from official meetings may lead to a review of membership.
Confidentiality: The Member agrees to maintain confidentiality with respect to any sensitive information shared within the organization. Disclosure of confidential information without permission will result in termination of membership and possible legal action.
4. Termination of Membership
Membership may be terminated under the following conditions:
Voluntary Termination: The Member may terminate their membership at any time by submitting written notice to dBuch.
Involuntary Termination: dBuch reserves the right to revoke membership if the Member violates any terms of this Agreement, including but not limited to engaging in unprofessional activities, raising funds without authorization, or breaching confidentiality.
5. Non-Liability
dBuch shall not be held liable for any personal loss, damage, or injury incurred during participation in organizational activities. The Member acknowledges and agrees that all participation is voluntary and at their own risk.
6. Dispute Resolution
Any disputes arising out of or related to this Agreement shall be resolved through mediation first. If mediation fails, the dispute may be brought to arbitration in accordance with the rules and regulations of Luxembourg.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Luxembourg, without regard to its conflict of law principles.
8. Entire Agreement
This Agreement constitutes the entire understanding between dBuch and the Member with respect to membership in dBuch. Any amendments to this Agreement must be in writing and signed by both parties.
9. Acknowledgement
By signing below, the Member confirms that they have read, understood, and agreed to the terms and conditions outlined in this Agreement.
